Terms and Conditions

The terms and conditions set forth below ("Terms of Use") constitute a legally binding agreement between cTrunk Solutions and you. These Terms of Use contain provisions that define your limits, legal rights, and obligations concerning your use of and participation in cTrunk a website or mobile app. User hereby accepts all the terms and conditions are mentioned below:

Binding Agreement and Assignments

This Agreement shall be binding upon and shall inure hack-proof to the benefit of the parties and their respective successors and permitted assigns. This Agreement is not transferable or assignable without the prior written consent of the other party provided, however, that such consent shall not be required in the event of an assignment made to an affiliate of either party or to a successor or purchaser in a merger, acquisition or sale or transfer of all or substantially all of the business provided that the successor/assignee is not deemed to be a competitor of the non-assigning party.

Personal Information

cTrunk Solutions represents and warrants to Client that in connection with the receipt, storage, use, and/or transfer of Personal Information, it shall (a) at all times maintain the confidentiality of Personal Information provided to the cTrunk Solutions or otherwise disclosed the connection with the provisions of Services under this Agreement, and (b) maintain appropriate security measures that comply with data protection regulations promulgated under applicable state and federal laws of the United States. For this section “Personal Information” means the first and last name or first initial and last name of an individual together with one or more of the following relating to such individual: (i) Social Security number; (ii) driver’s license number/state-issued identification number; or (iii) financial account number, or credit or debit card number, with or without any required security code, access code, personal identification number, or password, that would permit access to the account.

License Grant:

Provided that you comply with the terms and conditions of this Agreement, cTrunk Solutions grants you a non-exclusive and non-transferable license to Use the web license form of the cTrunk software ordered by you (the “Software”) according to the quantities and terms in your accepted order (the “Order”). The demonstration account may not be used for commercial purposes or incorporated into your product. Open-source software is provided according to its terms.

Confidentiality

Continuing until 5 years after the end of your license, each party agrees to keep all information, documents, and data, which is marked as or which would reasonably be considered to be confidential (“Confidential Information”) as strictly confidential and to use such information only within the scope of the licenses granted to you.

Privacy of Personal Information

User understands and acknowledges that by choosing cTrunk Solutions you have allowed cTrunk Services to use your personal information.

User understands, acknowledges, and agrees that although cTrunk Services provides appropriate firewalls and protections, cTrunk Services is not hackproof. Data pilferage due to unauthorized hacking, virus attacks, technical issues is possible.

Warranties and Liabilities

1. We accept liability for the supply of the Services to the extent provided in this agreement.
2. We do not warrant that the Services:
• provided under this agreement will be uninterrupted or error-free;
• will meet your requirements, other than as expressly set out in this agreement;
• will be free from external intruders (hackers), virus or worm attack, denial of service attack, or other persons having unauthorized access to the services or systems of ours; or
3. We specifically exclude any warranty as to the accuracy or quality of the information received by any person via your server and in no event will we be liable for any loss or damage to any data stored on the server. You are responsible for maintaining insurance cover in respect of any loss or damage to your data stored on the Server.

cTrunk is not responsible:

To the maximum extent permitted by law, cTrunk will not be liable to You (or any other person) in contract, tort (including negligence), or otherwise, for any losses (whether direct or indirect) arising out of, or in connection with, Your use of, or reliance on, the Services or Website or otherwise arising out of or in connection with these Terms.

Archiving and Backup of Your Data

1. You are solely responsible for the backup of your data (including email files). You must maintain a recent copy of your data at your premises at all times. We will not be liable for incomplete, out-of-date, corrupt, or otherwise deficient data recovered from our backups.
2. We will archive your data regularly for disaster recovery. In the event of equipment failure or data corruption, we will restore from the last known good archive. In the event of corruption of all of our archives, or the event that an old archive is used to restore data, you should be prepared to upload your data to your website.
3. We provide a backup tool within your cPanel that will allow you to create offsite backups of your website, database, and email content. We will store this data for 2 months from the creation date and will not be liable for backups not obtained before deletion.

Terms

The Software licenses granted remain in effect for the term specified in the Order unless earlier terminated under this Agreement. As the license is a commercial term license, at the end of each term, the Software licenses will automatically renew for an additional term, unless either party provides thirty (30) days prior written notice of non-renewal. The licenses granted under this Agreement will automatically terminate, with or without notice from cTrunk, if you breach any term of this Agreement. Upon termination, you must at cTrunk’s option either promptly destroy or return to cTrunk all copies of the Software in your possession or control.

Security of Your Personal Data

The security of Your Personal Data is important to Us, but remember data transmission over the internet can never be warranted to be entirely secure. Whilst we may take all reasonable steps and precautionary measures to safeguard your personal information, we may be unable to prevent unauthorized access to such information by third parties or inadvertent disclosure of such information during transit. cTrunk offers to keep the data private.

Accuracy of Personal data

We do our best to ensure that the personal data we hold and use is accurate. We rely on the customers we do business with to disclose to us all relevant information and to inform us of any changes.

Your Access to and Updating of your data

Reasonable access to your data may be provided upon request made to cTrunk at the contact information provided below. If access cannot be provided within that time frame, cTrunk will provide the requesting party a date when the information will be provided. If for some reason access is denied, we will explain hack-proof as to why access has been denied. We may charge a reasonable fee in advance for copying and sending the information requested.

If you would like us to delete any personal data held about you, we will do so on request unless we need to hold the information as part of the provision of products and services to you.

Payment Terms

All licenses are to be paid in advance - Quarterly or Yearly. The licenses granted in this Agreement are not valid if you do not timely pay the license fees. All prices are excluding any taxes, if applicable. You will be solely responsible for paying any applicable taxes.

Cookies

cTrunk Solutions uses "cookies". The use of cookies is an industry standard, and you'll find cookies on most major websites. A cookie is a small data file that a website can transfer to a visitor's hard drive to keep records of the visits to such a site. A cookie contains information, such as your User Information, that helps us recognize the pages you have visited and improve future visits, but the only personal information a cookie can contain is the information that you provide yourself. A cookie cannot read data off of your hard drive or read cookie files created by other sites. If you prefer not to accept a cookie, you can set your Web browser to refuse all cookies or to warn you before accepting a cookie. You can still access most of the features on our website even without accepting a cookie.

Cease of Software

If you and/or any parties want to cease the cTrunk software/tool well inform us prior. Once you have ceased the cTrunk software/tool data backup will keep for 2 months only. After 2months cTrunk Solutions will not be liable.

Prohibition on Reverse Engineering

The receiving party will not copy, decompile, modify, reverse engineer, or create derivative works out of any Confidential Information without disclosing cTrunk’s written consent. If such party to do so shall immediately render the above license null, void, and without effect.

Restrictions

You may not: (a) copy (except in the course of loading or installing) or modify the Software; or (b) transfer, sublicense, lease, lend, rent, or otherwise distribute the Software to any third party. Because the Software contains cTrunk’s trade secrets, you agree not to disassemble, decompile or reverse engineer the Software or permit or authorize a third party to do so, except to the extent such activities are expressly permitted by law. You will not use the Software for purposes of benchmarking or competitive analysis, or for the development of a competing software product or service. The Software may contain security or license features designed to prevent unauthorized use of the Software

Your Consent

By using cTrunk Solutions, you consent to the terms of our Privacy Policy and our processing of Personal Information for the purposes given above as well as those explained where we collect Personal Information on the Web.

We may update Our Privacy Policy from time to time. We will notify You of any changes by posting the new Privacy Policy on this page.

We will let You know via email and/or a prominent notice on Our Service hack-proof before the change becomes effective and update the hackproof. Last updated date at the top of this Privacy Policy. You are advised to review this Privacy Policy periodically for any changes. Changes to this Privacy Policy are effective when they are posted on this page.
